Terms of Service

These Terms of Service ("Terms") govern your use of the website app-devs-us.co.com and any services provided by Solis Software, LLC ("Company", "we", "us", or "our"), a limited liability company registered in the State of Arizona, United States.

By accessing our website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please discontinue use immediately.

1. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding contracts in your jurisdiction to use our services. By using our services, you represent and warrant that these conditions are met.

2. Services

Solis Software, LLC provides Android mobile application development services, including:

• Native Android development (Kotlin, Java, Jetpack Compose)
• Cross-platform development (Flutter, React Native)
• UI/UX design for mobile applications
• Backend and API development and integration
• Quality assurance and automated testing
• Google Play Store submission and App Store Optimization (ASO)
• Post-launch maintenance and support

Individual project scopes, timelines, and deliverables are governed by separate written agreements (Statements of Work, Service Agreements, or Contracts) executed between the Company and the Client.

3. Quotes and Proposals

All quotes and proposals submitted by us are estimates based on the information provided. Final pricing is confirmed in a signed agreement. Quotes are valid for 30 days from the date of issuance.

4. Payment Terms

Unless otherwise agreed in writing:

• A deposit of 30–50% of the project total is required before work begins
• Milestone payments are invoiced and due upon delivery of each milestone
• Final payment is due before delivery of final source code and assets
• All invoices are payable within 14 calendar days of issuance
• Overdue balances accrue interest at 1.5% per month
• All fees are in USD unless otherwise specified in writing

5. Intellectual Property

Upon receipt of full payment for a project:

• Client receives full ownership of custom code and assets developed specifically for their project
• Solis Software retains ownership of all pre-existing proprietary tools, frameworks, and components
• Open-source components remain subject to their respective open-source licenses
• Solis Software may reference the project in its portfolio unless restricted by a signed NDA

6. Client Responsibilities

The Client agrees to:

• Provide timely feedback and approvals to maintain the project schedule
• Ensure they have all rights to any content, brand assets, or third-party materials provided to us
• Make timely payments per the agreed schedule
• Designate a primary point of contact for the project

7. Confidentiality

Both parties agree to maintain the confidentiality of all non-public information disclosed during the project relationship. This obligation remains in effect for 3 years following project completion or termination. A separate NDA may be executed upon request.

8. Warranties

Solis Software warrants that:

• Services will be performed in a professional and workmanlike manner
• Deliverables will substantially conform to mutually agreed specifications
• We have the authority to enter into this agreement

We provide a 30-day bug warranty from delivery date, covering defects present at the time of delivery. This warranty excludes issues caused by client modifications, third-party changes, or OS updates after delivery.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Solis Software, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages including lost profits, data loss, or business interruption. Our total liability for any claim shall not exceed the total fees paid by you for the specific services giving rise to the claim in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Solis Software, LLC and its members, managers, employees, and contractors from and against any claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your use of our services, or your violation of any third-party rights.

11. Termination

Either party may terminate a project agreement with 14 days' written notice. Upon termination, the Client is obligated to pay for all work completed through the termination date. Solis Software will deliver all completed work product upon receipt of full payment owed.

12. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including acts of God, government restrictions, power outages, or internet disruptions.

13. Governing Law & Jurisdiction

These Terms shall be governed by the laws of the State of Arizona, United States, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Maricopa County, Arizona.

14. Dispute Resolution

Before initiating formal legal action, both parties agree to attempt to resolve any dispute through good-faith negotiation for at least 30 days. If unresolved, disputes shall be submitted to binding arbitration under the American Arbitration Association Commercial Arbitration Rules.

15. Entire Agreement

These Terms, together with any executed project agreements and our Privacy Policy, constitute the entire agreement between you and Solis Software, LLC regarding our services, superseding all prior understandings or representations.

16. Modifications

We reserve the right to modify these Terms at any time. Updated Terms are effective upon posting to this page. Continued use of our services after such posting constitutes acceptance of the updated Terms.
